Terms of Use


Please read these Terms of Use (“Terms”), which contain important information regarding the safety of products of Ortho Molecular Products, Inc. and/or its subsidiaries or affiliated companies (collectively, “Ortho,” “we,” “us,” or “our”) and govern any purchases you make on and your access and use of the this website, mobile applications and other OrthoPacks portals and services provided by that incorporate or link to these Terms (collectively, the “OP Services”).

PLEASE READ THESE TERMS CAREFULLY BEFORE USING THE OP SERVICES. IF YOU DO NOT ACCEPT THESE TERMS, DO NOT USE OR OTHERWISE ACCESS THE PLATFROM AND DELETE ANY DOWNLOADED APPLICATIONS AND MATERIALS IMMEDIATELY.

I. Agreement to Be Bound by Terms

Ortho reserves the right, at its sole discretion, to change, modify, add or remove portions of these Terms at any time, and you should periodically check for changes to these Terms. Such changes will be posted on this website and will become effective immediately. Your continued use of the OP Services following the posting of changes to these Terms will mean you accept these changes.

Your use of the OP Services, whether or not you create a user account, constitutes: (i) your representation that you have read and understood these Terms, (ii) your agreement that you are bound by these Terms, and (iii) your representation and warranty that you have the right, authority and capacity to enter into this agreement and abide by these Terms. If you are accepting these Terms on behalf of any third party, your use of the OP Services on behalf of such third party constitutes: (x) your representation that you have full legal authority to bind that third party to these Terms, and (y) on behalf of such third party, your agreement to be bound by these Terms.

Other terms also apply to your use of the OP Services including, without limitation, our Privacy Policy, any express terms that apply to sales promotions, and, with respect to any resale of Ortho’s products or marketing, sales, or promotional activities by any resellers, the Product Reseller Agreement executed by such reseller (any individual or entity who engages in marketing, sales, or promotional activities under a product reseller agreement with Ortho, a “Provider”).

II. Disclaimers

YOUR USE OF THE OP SERVICES IS AT YOUR RISK. THE INFORMATION AND PRODUCTS PROVIDED ON OR THROUGH THE OP SERVICES (THE “PRODUCTS”) ARE PROVIDED “AS IS” WITHOUT ANY WARRANTIES OF ANY KIND WHATSOEVER. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ORTHO MAKES NO WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, WITH RESPECT TO THE OP SERVICES, OR THE INFORMATION, PRODUCTS, CONTENT, AND SERVICES OFFERED THEREIN, INCLUDING THOSE SERVICES PROVIDED BY ORTHO’S PAYMENT PROCESSOR, AND SPECIFICALLY DISCLAIMS ALL EXPRESS OR IMPLIED WARRANTIES OR CONDITIONS, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, MERCHANTABLE QUALITY, ACCURACY, COMPLETENESS, VALIDITY, TIMELINESS, NON-INFRINGEMENT, RESULTS, OR FITNESS FOR A PARTICULAR PURPOSE, OR THAT THE OPERATION OF THE OP SERVICES OR THE PROVISION OF THE PRODUCTS OR SERVICES WILL BE AVAILABLE, UNINTERRUPTED OR ERROR-FREE OR THAT ALL ERRORS WILL BE CORRECTED, OR THAT THE OP SERVICES WILL BE FREE OF VIRUSES, WORMS, TROJAN HORSES OR OTHER CODE THAT MANIFEST CONTAMINATING, HARMFUL, OR DESTRUCTIVE PROPERTIES.

TO THE FULLEST EXTENT PERMISSIBLE BY APPLICABLE LAW, WE HEREBY DISCLAIM ALL WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, ANY IMPLIED WARRANTIES WITH RESPECT TO THE PRODUCTS AND SERVICES LISTED OR PURCHASED ON OR THROUGH THE OP SERVICES. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, WE HEREBY EXPRESSLY DISCLAIM ALL LIABILITY FOR PRODUCT DEFECT OR FAILURE, CLAIMS THAT ARE DUE TO NORMAL WEAR, PRODUCT MISUSE, ABUSE, PRODUCT SIDE AFFECT OR REACTION, PRODUCT MODIFICATION, IMPROPER PRODUCT SELECTION, NON-COMPLIANCE WITH ANY CODES, OR MISAPPROPRIATION. PLEASE REFER TO YOUR LOCAL LAWS FOR ANY SUCH PROHIBITIONS.

Ortho is not responsible for any claims, advertising statements, or warnings made by Providers who are not acting at the direction of Ortho.

b. Content for Informational Purposes Only

IF YOU BELIEVE THAT YOU MAY HAVE AN URGENT NEED FOR MEDICAL CARE, SEEK EMERGENCY MEDICAL ATTENTION IMMEDIATELY; DO NOT RELY ON THE INFORMATION IN THE OP SERVICES TO DIAGNOSE OR TREAT ANY MEDICAL CONDITION. The information and content through the OP Services is solely for informational purposes and does not replace the knowledge or skill of any professional healthcare practitioner. Nothing contained in the OP Services is intended to provide you with medical advice. The information through the OP Services should not be used for diagnosing, treating, curing, or preventing any illness, injury, or other health condition. Do not use any Products if you are pregnant or nursing. Health statements made, and products sold, on the OP Services have not been evaluated by the U.S. Food and Drug Administration.

You should read and follow all instructions and warning information and recommended use information on the Product label and packaging prior to use.

All features, specifications, prices, instructions, materials, labels, warnings, directions, and packaging described through the OP Services are subject to change at any time without notice. Actual Products may contain more and/or different information than that shown through the OP Services. The inclusion of any products or services through the OP Services does not imply or warrant that these products or services will be available at any particular time. While we endeavor to provide accurate and up-to-date information, we cannot guarantee that all information through the OP Services is correct and complete.

Any consumer testimonials or reviews represent the opinions of third-party individuals and are not intended to guarantee any results or experience. Individual results may vary, and the results depicted may not be typical of the average user.

c. Third Party Resources

The OP Services and other third parties may provide links to third-party applications and websites products, devices, items, services, and other materials (collectively, “resources”) that are not under our control. You hereby acknowledge, and agree that Ortho does not endorse, sponsor, recommend, and is not responsible or liable for any third-party resources or for any damage or loss caused or alleged in connection with use of or reliance on any such resources. You use of third-party resources and interactions with third parties are solely between you and such third parties and are at your own risk. If you visit third-party resources, you should consult the privacy policy and the terms and conditions of each such resource that you visit and make whatever investigation is appropriate before proceeding with any transaction with any third party.

III. Limitation of Liability

Neither Ortho, nor any of its directors, officers, employees, agents, or subsidiaries, will be liable for damages arising out of, or in connection with, the OP Services. This is a comprehensive limitation of liability that applies to all damages of any kind, including, without limitation, compensatory, direct, indirect or consequential damages, loss of income or profit, personal or property damage, and claims of third parties.

IV. Terms of Use

Ortho hereby grants to you a limited, personal, revocable, non-exclusive, non-transferable right to access and use the OP Services solely for your personal purposes or such purposes as are set out in a valid and executed product reseller agreement between you and Ortho, as applicable, subject to these Terms and so long as your Ortho account is in good standing and Ortho has not terminated such account.

a. OP Services Rules

At all times when using the OP Services or any Products or otherwise engaging in any activity regarding the OP Services, you hereby agree to the following:

  • Unless you are a Provider, you may not market, promote, advertise, or resell any Products.
  • You shall not provide false personal information or impersonate any other person and any information you provide, including any personal information and payment information, is and will be true, accurate and complete and that you will maintain and update such information so that it remains true, accurate and complete at all times.
  • You shall not knowingly file a false report or knowingly provide false information in a report or other submission that is made using the OP Services.
  • You shall not, without the express written permission of Ortho, exploit, for personal, commercial, or third-party gain, any content or information from the OP Services, including, without limitation, accessing or using any content or information from the OP Services in order to directly or indirectly compete with Ortho.
  • You shall not translate, modify, or create derivative works of the OP Services or any Products.
  • You shall not make any representations, warranties, guarantees, indemnities, commitments, or other similar claims actually, apparently, or ostensibly on behalf of Ortho. You are exclusively responsible for any statements that you may make regarding the Products, including any claims that do not explicitly appear on Product labeling.
  • You shall use the OP Services and any associated services only in a manner that complies with all applicable statutes, rules, regulations, laws, orders, and requirements of any governmental authority with jurisdiction over your actions.
  • You shall not use the OP Services or the Products to engage in any unlawful or illegal, unfair, fraudulent, malicious, negligent, misleading, or deceptive practices, or which promotes any criminal activity or provides information about the same.
  • You shall not use the OP Services to violate the rights of a third party.
  • You shall not infringe on anyone’s Intellectual Property rights (including, for the avoidance of doubt, Ortho’s Intellectual Property rights) (“Intellectual Property” is defined in Article VII of these Terms);
  • You shall not compromise the confidentiality, integrity, or availability of the OP Services, nor use the OP Services to compromise the confidentiality, integrity, or availability of any third-party’s computer systems, such as through introducing malware, hacking, cracking, phishing, or SQL injecting, or otherwise use the OP Services in any manner that could disable, damage or overburden the OP Services or any third-party’s computer systems.
  • You shall not use any device or process for the purpose of scraping, harvesting, compiling, indexing, surveying, building AI/machine learning models, or otherwise data mining information through the OP Services, including probing, scanning, testing the vulnerability of or breaching the authentication measures of, the OP Services or any related networks or systems.
  • You shall not engage in any conduct that interferes with other users’ use of the OP Services or Products, including, without limitation, spamming, harassing, or engaging in any abusive, discriminatory, pornographic, defamatory, or profane conduct with respect to any other user.
  • You may not do anything else which may bring Ortho or any of its users into disrepute, endanger the business or safety of Ortho or any third party, or constitutes any use other than the business purposes for which the OP Services and Products are intended.
You acknowledge and agree that Ortho may, in its sole discretion, determine that you have failed to comply with these rules or any other terms and conditions set forth herein, and that such determination may be final and is not subject to any form of appeal or contest.

You are responsible for obtaining access to the internet and the equipment necessary to use the OP Services. The OP Services will only work on compatible devices and operating systems, and certain functionality will only work if your device is connected to the internet. Some features may also only be available with certain operating systems.

b. Accounts

You may be required to register for an account through the OP Services (an “Account”) in order to access certain features of the OP Services or certain Products. By creating, updating, or logging into an Account, you represent and warrant that any information that you supply in connection with such Account is true, accurate, and complete. You shall not create an Account with any false identity, and shall not use your account to mislead, impersonate, or misrepresent your affiliation with any third party. You shall not use the Account, username or password of any third party, without the express permission and consent of the holder of the Account.

Without limiting anything set forth herein, by creating, updating, or logging into an Account, you acknowledge and agree that:

  • You are solely responsible for maintaining the confidentiality of your Account information, including your username and password;
  • You are solely responsible for any activity that occurs under your Account;
  • Ortho will accept, with respect to your Account, the instructions of any individual, so long as such person presents your username and password on-line, by email or by phone;
  • You will notify Ortho immediately of any unauthorized use of your Account or password;
  • Ortho may suspend or terminate your Account or your use of the OP Services at any time, for any reason or for no reason, without prior notice or explanation; and
  • Ortho will not be liable for any loss or damage arising from your failure to comply with this section, including, without limitation, for inadvertent or unauthorized disclosure, misuse, or misappropriation of your information.
By creating an Account, you consent to receive electronic communications, including via email, text message, or push notification to your electronic device. We may also send you information regarding your Account and the OP Services. We may also send you promotional communications, such as marketing materials, newsletters, coupons, offers, and surveys. You may modify your communications preferences by following the instructions contained in our promotional messages or through your Account settings. It may take Ortho up to ten (10) business days to process any request to modify your communications preferences. Even if you opt out of receiving marketing communications, we may still send you transactional messages relating to your Account, use of the OP Services, purchase of Products, or any other existing business relationship.

Ortho will only send text messages to persons who opt into or consent to receiving messages. Such consent may be provided through a third-party intermediary. Message and data rates may apply. Additional opt-out information for each program can be found in Ortho’s Privacy Policy.

V. Privacy Statement

Our privacy and security practices are governed by these Terms and by the Privacy Policy posted through the OP Services. Ortho’s policy is to operate in compliance with the privacy legislation within each jurisdiction in which we operate. The OP Services are intended for use by users in the U.S. and Products purchased through the OP Services will only be shipped to U.S. addresses; if you use the OP Services from other locations, you are doing so on your own initiative and are responsible for compliance with applicable local laws regarding your online conduct and acceptable content, if and to the extent local laws apply.

If you provide us with a third party’s contact information in connection with your Account or any purchase of Products, you represent that you have permission for us to contact such third party (including by email, telephone, or text message) using any of the contact information provided, including for marketing purposes.

VI. Terms of Purchase

A properly completed and submitted order request constitutes such an offer to purchase the Products referenced in the order. An order is deemed to be accepted only if the party that placed the order (the “End User”) receives a purchase confirmation through the OP Services, or to the email address associated with the Account or purchase, indicating that the order and payment has been processed. Ortho reserves the right to refuse all or part of any order request and to limit quantities of Products available for sale to any End User, as well as the right at any time to reject, correct, cancel, or terminate any order request, whether accepted or not, for any reason whatsoever or for no reason. Ortho will refund to the credit card on file for the End User any amounts collected by Ortho for any portion of any order that is canceled or otherwise not fulfilled by Ortho. Ortho will not otherwise be liable for any losses, costs, fees, expenses, penalties, or damages associated with Ortho’s cancelation, non-fulfillment, or partial fulfillment of any order.

The prices for Products are set out through the OP Services, and all other applicable amounts, charges, and taxes are indicated when a End User submits an order request. Unless otherwise stated, all invoiced amounts are due upon receipt and processed immediately upon purchase confirmation using the credit card information on file for the End User placing the order. Unless otherwise stated, all amounts are quoted in U.S. Dollars.

Payments and distributions may be processed by a third-party payment processor. By making use of some or all of these payment services available through the OP Services, you agree to be bound by the then-current and applicable payment processor’s terms and conditions and privacy policy and hereby consent to and authorize us to delegate the authorizations and share the information you provide to us with the payment processor to the extent required to process your order or otherwise furnish Products to you. The End User is responsible for all shipping costs. Title and risk of loss transfer to the End User upon delivery to the shipping carrier prior to passing to the End User. Any shipping times shown through the OP Services are estimates only; actual delivery dates may vary.

VII. Intellectual Property Rights

By using the OP Services or the Products, you will not acquire any ownership interest in any Intellectual Property (as defined below) of Ortho or any third party or otherwise to the content of the OP Services, including but not limited to, underlying software and technology, text, applications, sound, photographs, buttons, images, logos, video, and graphics, whether or not registered (the “Content”). All Content shall continue to be the property of Ortho or its licensors and shall remain protected under applicable copyright, patent, trademark, and other proprietary rights. You are strictly prohibited from reverse engineering, copying, redistributing, using or publishing any Content, except as expressly permitted in these Terms or a valid, written agreement signed by Ortho. You further agree not to remove, alter, or obscure any proprietary notice or legend of Ortho, its suppliers, or licensors on any Content or any Product.

Ortho grants you a limited, revocable, non-exclusive license to use the OP Services and the content therein; this license may not be used for republication, distribution, assignment, sublicense, sale, or preparation of derivative works. Any rights not expressly granted herein are reserved. We may revoke our consent for your use of our Content, or any other permission granted to you under these Terms, at any time and in our sole discretion. You agree that if we so request, you must take immediate action to remove any usage of our Content that you may have engaged in, even if it would cause a loss to you.

As used herein, the “Intellectual Property” of a party means that party’s: (i) inventions and patents; (ii) trademarks, service marks and logos; (iii) internet domain names registered by any authorized private registrar or governmental authority, web addresses, web pages, website and URLs; (iv) works of authorship, expressions, designs and design registrations, whether or not copyrightable, including copyrights and copyrightable works, software, code, data, data files, and databases and other specifications and documentation; (v) trade secrets; and (vi) all rights, interests and protections that are associated with, equivalent or similar to, or required for the exercise of these rights or forms of protection under the laws of any jurisdiction throughout the world with respect to any of the foregoing, however arising in each case, whether registered or unregistered, and including all registrations and applications therefor, and renewals or extensions thereof.

VIII. Miscellaneous

a. You agree that all actions or proceedings arising out of, in connection with, or otherwise concerning these Terms shall be tried and litigated exclusively in the state or federal courts located in the State of Wisconsin and are governed by the laws of the State of Wisconsin. You hereby waive the right to contest exclusive venue in the courts of Wisconsin and irrevocably consent to the jurisdiction of the appropriate state or federal court in Wisconsin for the purposes of these Terms.

b. For the avoidance of doubt, Ortho is not responsible, and shall not be liable, for any delay or failure of performance, including without limitation, the failure to deliver any Products, where such delay or failure arises or results from any cause beyond the reasonable control of Ortho, including but not limited to, flood, unusually severe weather, earthquake or other act of nature, power loss, strike, boycott, or other labor disputes, embargo, governmental regulation, or an inability or delay in obtaining materials. In the event of such delay or failure of performance, Ortho shall have such additional time within which to perform its obligations hereunder as may be reasonably necessary under the circumstances.

c. If any part of these Terms is ruled to be unlawful, void, or for any reason unenforceable, then such part is severable from these Terms and is eliminated or limited to the minimum extent necessary. The remainder of these Terms, including any revised portion, remain and be in full force and effect.

d. Ortho reserves all rights afforded to us under these Terms as well as under the provisions of any applicable laws. Any failure or delay by Ortho in enforcing any particular provision of these Terms or any applicable laws is not to be construed as a waiver of the right to enforce any other provision of these Terms or applicable law or that same provision under the same or different circumstances at any time in the future. Neither our course of conduct nor our trade practices will act to modify these Terms.

f. Pursuant to California Civil Code Section 1789.3, California Users are entitled to the following specific consumer rights notice: The Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs may be contacted in writing at 1625 N. Market Blvd., Suite N 112, Sacramento, California 95834, or by telephone at (800) 952-5210.

g. You may not assign your rights and/or obligations under these Terms to any other party without our prior written consent, and any such attempt will be null and void. We may assign our rights and/or obligations under these Terms to any other party at our discretion.

h. You hereby indemnify, defend and hold harmless Ortho and its officers, directors, employees, agents, and contractors (each, an “Ortho Indemnitee”) from any third-party claim, lawsuit, loss or liability, including attorney's fees and expenses, arising from or related to: (i) the negligence, willful misconduct or you or your directors, trustees, officers, agents, contractors, faculty, students, or volunteers, or any third party to which you or Personnel transfers Products or grant access to your Account (individually and collectively “Personnel”); (ii) any non-compliance with these Terms by you or Personnel; and (iii) any promotions, warranties, representations, or statements with respect to Products (including, without limitation, any changes to Product packaging or labels) or the OP Services made by any Personnel without the express prior written approval of Ortho; except to the extent that any such claim, lawsuit, loss or liability arises from the gross negligence or intentional misconduct of any Ortho Indemnitee.

i. Nothing in these Terms may be construed as creating any agency, partnership, joint venture or other form of joint enterprise, employment or fiduciary relationship between you and Ortho, and neither you nor Ortho have the authority to contract for or bind the other party in any manner whatsoever. The remedies herein are cumulative and in addition to any other or further remedies provided in law or equity. You consent to injunctive and other equitable interim or permanent relief as may be requested by Ortho and awarded by a court.
